I.K.E. company acts and details subject to publicity
Information which has to be published at the time of incorporation:
1) name of the sole shareholder or shareholders
2) inclusion in or deletion from the company name of the word “sole-shareholder”
3) the company’s website
4) appointment of a company operator
5) assessment of the partners’ capital contributions in kind
6) statutory provisions concerning the following data:
i) name, surname and e-mail address of the partner
ii) corporate name
iii) company’s seat
iv) corporate object
v) the fact of the company being an IKE company
vi) share capital, partners’ contributions and kind of contributionsvii) shares total
viii) initial amount of the partners’ shares and the kind of contribution they represent
ix) operator and representative personal data
x) company’s duration
xi) any amendments to the above
Information which has to be published during the company’s operation:
1) withdrawal and replacement of the company operator
2) any Court Decisions declaring the invalidity of the company
3) any Court Decisions declaring the invalidity of the General Assembly decisions
4) any changes in the partners’ guarantee contributions
5) any decrease for any reason of the company’s share capital
6) annual financial statements
7) any appointment of auditors
8) conversion to another company type
9) merger (merger plan and partners’ merger decision) between the IKE and another company
10) any transfers of the registered seat
11) dissolution of the company
Additionally, every company’s brochure must include the following data:
1) company name
2) share capital
3) guarantee contributions
4) General Commercial Registry (GEMI) number
5) company seat
6) company address
7) if the company is into liquidation
